Please join us on March 15 as we continue to explore the exit alternatives of Hi-Tech Industries. In our first two sessions, the group enjoyed a lively discussion exploring the case, discussing the value drivers of the company, and reviewing the company’s strategic alternatives. In our March 15, discussion the group will discuss liquidity alternatives for the owners without sale of 100% of the company. Alternatives explored will be a leveraged recap, special dividend, buyout of single shareholder, and ESOP. The panel will include experienced transaction lenders to discuss how they view these types of transactions.

Steve Gord, Partner, Boathouse Capital

Steve has nearly 20 years of experience in the small company deal industry. In 2008, he was a founding partner of Boathouse Capital, a Philadelphia-based structured equity investment fund with approximately $350 million of capital under management. Currently on its second fund, Boathouse invests growth capital into owner-operator run businesses across a narrow range of industries. Before Boathouse, Steve spent five years at BDC American Capital Strategies investing in junior capital transactions. Earlier in his career, he was in the consumer investment banking group at Robertson Stephens, in the M&A and private equity practices at Compass Partners and in the investment banking group at Furman Selz.

Eric Ziman, Executive Director, ESOP Advisory Group, J.P. Morgan, Commercial Banking

Eric is dedicated to advising bankers and their clients on the benefits of executing ESOP transactions and understanding ESOP-related issues. Eric has a leadership role managing ESOP financing transactions, including structuring, underwriting and execution. 

Eric joined J.P. Morgan in 2009 with 21 years of experience in the finance industry. Prior to joining J.P. Morgan, Eric was with financial advisory firm Duff & Phelps for 11 years. Eric has structured ESOP transactions and raised financing for many companies and sellers. In addition, Eric has represented ESOP trustees, issuing transaction and valuation opinions. Eric began his career in banking, holding roles in relationship management and credit/risk management.
