Section 1202 can be one of the most powerful and misunderstood tax planning tools available to private business owners. Allowing a taxpayer to potentially exclude up to $10M of capital gain taxation upon the sale of their company, it is one of the most beneficial tax provisions available to successful entrepreneurs. While many advisors are familiar with the basics of Qualified Small Business Stock (QSBS), far fewer understand how 1202 stacking strategies can increase the amount of gain eligible for exclusion at exit.
This session will explore how 1202 stacking works, when it’s viable, and where advisors most often miss opportunities or create risk. We’ll walk through planning considerations, coordination with legal and tax partners, and common structuring scenarios that may allow founders to multiply QSBS benefits while staying aligned with the intent of the code.
