XPX Dallas - The Second Bite: Do Earnouts and Rollover Equity Really Pay?
Earnouts and rollover equity can bridge valuation gaps, align incentives, and give owners a meaningful second bite at the apple. They can also create disappointment when metrics are unclear, control shifts, integration changes the business, or the seller and buyer have different expectations about the owner's post-close role.
This program will move beyond deal terminology and examine how these structures work in the real world. A buyer, an M&A attorney, and an owner who has lived through an earnout or rollover will discuss metric selection, governance, information rights, operating control, employment terms, cultural fit, exit timing, tax and liquidity considerations, and the practical question every seller should ask: what must be true for this future value to be realized?
The objective is not to label these tools good or bad. It is to help advisors and owners understand the conditions under which they can succeed. We look forward to seeing you at this informative session!
