What’s an Employer Stock Ownership Plan (ESOP)? It’s a powerful succession planning tool that can provide a business owner with the opportunity to sell or get liquidity from his or her business while delivering an incredible benefit to employees. Mr. Matthew’s presentation will provide an overview of ESOPs and how they are structured, an outline of the unique tax advantages and other benefits of ESOPs for sellers, companies, and employees, and a summary of what makes a good ESOP candidate. Mr. Matthew advises companies, business owners, boards of directors and employee stock ownership plan (ESOP) trustees on transactional, corporate governance and formation matters related to the design and implementation of ESOPs. Mr. Matthew’s work includes drafting and negotiating agreements and other documents for mergers and acquisitions, reorganizations and corporate governance and formation matters. He has a J.D. from Temple University Beasley School of Law and a B.A. in Political Science from the University of Pennsylvania.
Mr. Matthew is an Associate Member of the Legal & Regulatory Committee of The ESOP Association, a member of the National Center for Employee Ownership, the Closely-Held Business Committee of the Pennsylvania Bar Association’s Business Law Section, and the Small Business Committee of the Philadelphia Bar Association’s Business Law Section. Additionally, Mr. Matthew provides pro bono services to start-up cooperatives through the Philadelphia Area Cooperative Alliance and is a member of that organization’s employee ownership advisory committee.
