XPX Triangle Lunch & Learn: Beyond Buyouts: A Case Study on SBDG’s Soft-LBO “IPO Factory”
Traditional private-equity roll-ups rely on heavy leverage and a single exit. Small Business Development Group (OTCID:SBDG) has something different: a public holding-company platform that acquires profitable firms with enterprise values of $2–50 million firms through founder-friendly “soft” LBOs, adds operating discipline, and later spins off each vertical into its own IPO. This session deconstructs the model—how deals are sourced and structured, why founders stay engaged, what governance shifts are required, and the implications for advisors on both the buy and sell side. Expect lessons, not a sales pitch.
