XPX Dallas- How Will the Company Be Valued? Perspectives from a Private Equity Investor (Case Study)
There's a saying that M&A advisors like to joke about, and it centers on what a company is worth: "What they'll write the check for!" And that it clears the bank, but I digress. Value is done many ways, and in some respects, makes me think about 100 tax accountants preparing a tax return for one business owner. I can assure you - each of them would come up with a different amount owed, or a different refund earned. It's true!
Companies can be valued leveraging a variety of tools and experience:
1. Summary valuations calculated in excel, drilling down to EBITDA, add backs and more.
2. Enterprise values derived by advisors leveraging valuation software.
3. The detailed and lengthy valuation reports developed and signed-off by a Certified Valuation Appraiser.
4. The experience of a Private Equity Analyst or Strategic Buyer's Investment Banker aligned with two key assumptions in mind: (i) get to a "no" as fast as possible and (ii) buy the most valuable at the best price.
All of these have value, to pardon the pun, and all affect how people feel about the worth of the company. In a family-owned business, the family owners think of one number, buyers the next, and so. That's the same in any business. But family-owned businesses have additional dynamics that come into play:
1. Are the owners talking as the role they play, or as their family member role, in key discussions?
2. Are the family members spouses and other relatives involved "behind the scenes," affecting valuations and what to do with the company (e.g., roll equity, transfer equity, sell the business outright or keep it, and more)?
